1. Acceptance of Terms

By downloading, installing, registering, accessing, or using StockAttributor PRO ("Software", "Service", "we", "our", or "us"), you agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, you must discontinue using the Software immediately.

2. Description of Service & Non-Affiliation Disclaimer

StockAttributor PRO is an independent desktop application designed for stock photographers, videographers, illustrators, and digital media contributors. The Software utilizes artificial intelligence (AI) models to analyze compressed media previews and assist authors with metadata generation (titles, descriptions, keywords, categories), compliance filtering, and batch metadata embedding into digital assets.

Non-Affiliation Disclaimer: StockAttributor PRO is an independent tool and is NOT affiliated, associated, authorized, endorsed by, or in any way officially connected with Adobe Inc. (Adobe Stock), Shutterstock, Inc., Getty Images (iStock), Pond5, Freepik, Vecteezy, or any of their subsidiaries or affiliates. All third-party product and company names are trademarks or registered® trademarks of their respective holders.

3. Licenses & Digital Credit Packages

• License Grant: Upon registration, you are granted a personal, non-exclusive, non-transferable, revocable license to install and use the Software on your personal or corporate computers in accordance with these Terms. You may not reverse-engineer, decompile, modify, or resell access to the Software or its API gateway.
• Prepaid Credit Top-Ups: Usage of AI attribution features is billed on a pay-as-you-go prepaid credit system. There are no automatic monthly recurring subscriptions. Users voluntarily purchase top-up credit packages ($1, $5, $10, $20, $50).
• Credit Validity: Top-up credits remain valid for 90 days from the purchase date, allowing ample time for users to process batches of stock media, unless otherwise required by mandatory applicable local consumer protection laws in your jurisdiction.

4. User Content, Intellectual Property & Releases

You retain 100% of your intellectual property rights, copyrights, and ownership in all media files (photos, videos, vector illustrations, and AI artworks) processed using the Software. StockAttributor PRO claims no ownership over your original works or the metadata generated for your files.

The Software processes source media locally on your machine and generates temporary, compressed low-resolution proxy previews exclusively for the purpose of visual AI analysis. Your original high-resolution source media is never uploaded to or hosted on our servers.

User Warranties & Releases: You represent and warrant that you own or have obtained all necessary licenses, consents, permissions, and valid Model and Property Releases for all media content, recognizable individuals (including biometric likenesses), and private property depicted in files processed by the Software. You agree to indemnify and hold harmless StockAttributor PRO from any third-party claims arising from unauthorized processing of intellectual property, likenesses, or personal data.

5. Payments and Merchant of Record

All payments are securely processed by our authorized Merchant of Record, Paddle.com Market Ltd (Judds Mill, 1-3 Fleur De Lis Street, London, E1 6FE, United Kingdom) and its global subsidiaries. Paddle handles global tax collection (VAT/Sales Tax), invoicing, payment fraud prevention, and currency conversions in accordance with applicable laws. All purchases are subject to Paddle's Checkout Buyer Terms.

6. Refunds and Cancellations

Our refund policy is governed by our Refund Policy and Paddle's Checkout Buyer Terms. Because all orders are processed by Paddle.com as the Merchant of Record, you may request a refund within 14 days of purchase by contacting our support or Paddle directly.

7. Disclaimer of Warranties & Limitation of Liability

The Software and all AI-generated metadata suggestions are provided strictly "as is" and "as available" without warranty of any kind, express or implied.

Responsibility for Marketplace Submissions: AI models may occasionally produce inaccurate descriptions, omit details, or misidentify visual elements. You acknowledge and agree that you are solely responsible for reviewing, verifying, editing, and validating all metadata, keywords, AI-generation disclosures, and compliance tags before submitting any files to any stock agency.

No Liability for Third-Party Account Actions: We shall have no liability whatsoever for rejected assets, metadata inaccuracies, intellectual property flags, account warnings, account suspensions, terminations, or financial losses imposed on your contributor accounts by Adobe Stock, Shutterstock, Getty Images, iStock, Pond5, or any third-party marketplace. In no event shall our total cumulative liability exceed the amount actually paid by you for the Service in the twelve (12) months preceding the claim.

8. Governing Law & Consumer Rights

These Terms shall be governed by and construed in accordance with applicable international commercial principles and laws governing digital software services, without regard to conflict of law rules. For all checkout, billing, tax, and payment matters processed by Paddle.com as the Merchant of Record, the laws specified in Paddle's Checkout Buyer Terms shall apply. Nothing in these Terms affects any mandatory statutory rights granted to consumers under applicable local consumer protection laws.
